county and the auditor general shall transmit to the treasurer of each county in which such lands are situate a warrant on the state treasurer, drawn against the general funds of the state not otherwise appropriated, for an amount equal to ten cents per acre upon each acre of land certified and listed as commercial forest reserve in such county. The board of supervisors of each county shall distribute such sum of ten cents per acre in the same manner as the specific tax paid by the owner of such land is distributed.

AN ACT to make an appropriation for the national encampment of nineteen hundred twenty-seven of the United Spanish war veterans.

The People of the State of Michigan enact:

SECTION 1. There is hereby appropriated from the general fund for the fiscal year ending June thirtieth, nineteen hundred twenty-eight, the sum of ten thousand dollars toward defraying the expenses of the national encampment of the United Spanish war veterans, to be held in Detroit about August thirtieth, nineteen hundred twenty-seven.

SEC. 2. The appropriations hereby made shall be subject to the general supervisory control of the state administrative board.

This act is ordered to take immediate effect.

AN ACT to amend section one of act number one hundred twelve of the public acts of eighteen hundred eighty-five, entitled "An act to secure the minority of stockholders, in corporations organized under general laws, the power of electing a representative membership in boards of directors," being section eleven thousand three hundred fortyfour of the compiled laws of nineteen hundred fifteen.

The People of the State of Michigan enact:

SECTION 1. Section one of act number one hundred twelve of the public acts of eighteen hundred eighty-five, entitled "An

act to secure the minority of stockholders, in corporations organized under general laws, the power of electing a representative membership in boards of directors," being section eleven thousand three hundred forty-four of the compiled laws of nineteen hundred fifteen, is hereby amended to read as follows:

SEC. 1. In all elections for directors of any corporation Elections organized under any general law of this state, other than municipal, insurance, banking corporations, industrial banking corporations, trust companies, building and loan associations, cooperative savings associations and summer resort associations, every stockholder shall have the right to vote in person or by proxy the number of shares of stock owned by him for as many persons as there may be directors to be elected, or to cumulate said shares and give one candidate as many votes as will equal the number of directors multiplied by the number of shares of his stock; or to distribute them on the same principle among as many candidates as he shall think fit. All such corporations shall elect their directors annually, and the entire number of directors shall be balloted for at one and the same time and not separately: Provided, Proviso. That the by-laws of any such corporation shall not be so amended as to reduce the number of directors of such corporation in case the votes of a sufficient number of shares are recorded against such proposed amendment, which if cumulatively voted as herein provided would elect one or more directors, where the same number of shares if cumulatively voted would not be sufficient to elect the same number of directors of the reduced board: Provided further, That associa- Further tions formed for social, yachting, hunting, boating, fishing proviso. and rowing purposes, under act number twenty-two of the public acts of eighteen hundred eighty-three, approved April tenth, eighteen hundred eighty-three, entitled "An act to authorize the formation of clubs for social purposes," the same being sections ten thousand one hundred seventy-seven to ten thousand one hundred eighty-three, both inclusive, of the compiled laws of nineteen hundred fifteen, or under section ten thousand ninety-eight of the compiled laws of nineteen hundred fifteen, may elect a portion of their directors for a longer term than one year as may be provided in their bylaws.

AN ACT to promote the agricultural and industrial interests in the upper peninsula of Michigan; to create a board of managers for a state fair in the upper peninsula; to define the powers and duties thereof; to provide for the transferring to and vesting in the state of Michigan or the people thereof, the title and control of all lands and other property that now is or hereafter may be owned or acquired in said upper peninsula for the purpose of holding and conducting an agricultural and industrial state fair; and to provide for an appropriation therefor.

The People of the State of Michigan enact:

SECTION 1. There is hereby created a board of managers of the upper peninsula state fair, which board shall consist of sixteen members to be appointed by the governor and conMembership. firmed by the senate. The membership of said board shall consist of one resident of each of the fifteen counties of the upper peninsula, and one member of said board shall be the commissioner of agriculture who shall serve continuously as a member of said board. Five members of said board shall be appointed for a term of two years. Five members shall be appointed for a term of four years and five members shall be appointed for a term of six years. Whenever a vacancy shall occur the governor shall fill such vacancy by appointment of a resident of the county in which such vacancy occurred. Said members shall serve without compensation, except they shall be paid five dollars per diem, except the commissioner of agriculture, together with their actual and necessary expenses incurred in attending meetings of said board. The compensation and expenses shall be paid out of the general fund of the upper peninusla state fair. Said board of managers shall at their first meeting select from one of their number a chairman who shall serve for two years and shall also appoint a secretary and treasurer who may or who may not be members of said board of managers, and may adopt rules and regulations governing its organization and procedure and fix the salaries of its secretary and treasurer.

SEC. 2. The control of all lands or other property that now is, or hereafter may be vested in the state of Michigan or in the people of said state for the purpose of holding and conducting an agricultural and industrial state fair in the upper peninsula is hereby placed in the board of managers. The board of managers is authorized to accept on behalf of the state grants and conveyances of property for such purposes or for any other purposes within the scope of this act and to consent to such conditions for the use thereof as may

be agreed upon. All grants and conveyances shall be taken

hereby authorized. The arrangement of such fairs and the
actual conducting thereof shall be under the immediate charge
of said board of managers. The proceeds of the upper pen-
insula state fair and all other moneys which come into the
possession of the said board of managers under the provisions
of this act shall be and remain a perpetual and revolving fund
out of which necessary and proper expenses for the conducting
and maintaining of said fair shall be paid. It shall be the
duty of the secretary of the said board of managers on or
before the first day of January each year hereafter to file
with the governor a detailed report of the receipts and ex-
penditures of said board. Whenever in the opinion of the
state administrative board the moneys in such fund shall
exceed the amount reasonably required for the purposes
hereof, the surplus shall on order of the said state adminis
trative board be transferred to the general funds of the state.
The secretary of said board of managers shall maintain an
office in the city of Escanaba.

AN ACT to amend section fifteen of act number two hundred fifty-seven of the public acts of nineteen hundred thirteen, as amended by act number one hundred seventy-three of the public acts of nineteen hundred fifteen, entitled "An act to regulate the construction and operation of moving picture shows and theatres showing moving pictures, to provide for an inspection fee for operating the same, and to place supervision of such shows and theatres under the department of the state fire marshal," being section seven thousand one hundred seventy-nine of the compiled laws of nineteen hundred fifteen.

The People of the State of Michigan enact:

SECTION 1. Section fifteen of act number two hundred fifty-seven of the public acts of nineteen hundred thirteen, as amended by act number one hundred seventy-three of the public acts of nineteen hundred fifteen, entitled "An act to regulate the construction and operation of moving picture shows and theatres showing moving pictures, to provide for an inspection fee for operating the same, and to place supervision of such shows and theatres under the department of the state fire marshal," being section seven thousand one hundred seventy-nine of the compiled laws of nineteen hundred fifteen, is hereby amended to read as follows:

SEC. 15. Every motion picture show, theatre or other amusement place or audience room in the state of Michigan showing motion pictures shall be inspected by the state fire marshal, his deputy or assistant state fire marshal not less than twice each year. The owner of a moving picture show, theatre or other amusement place or audience room showing motion pictures shall pay to the state treasurer for each inspection, the sum of ten dollars, and all money so paid shall be credited to the state fire marshal fund for the use of the fire marshal department: Provided, however, That no more than twenty dollars shall be collected for such inspections in any one year on account of any one place of amusement or other audience room: And provided further, That whenever the motion picture show, theatre or other amusement place or audience room is situated in a city or village, incorporated or unincorporated, having a population of less than two thousand inhabitants, the annual inspection fee shall not exceed five dollars.
