Be it enacted by the Legislative Assembly of the Territory of Minnesota, That Charles R. Reed of Reed's Landing, Oscar H. to locate road. Houck, Lewis E. Springer, and O. M. Lord, of Fillmore County, are hereby appointed Commissioners to locate and mark a Territorial Road, commencing at Reed's Landing, from thence on or as near as is practicable, a line south to such a point on the Iowa State Line, as may in the opinion of said commissioners be most practicable for the termination of said road.

SEC. 2. That the said Commissioners shall meet at the house of C. R. Reed, at Reed's Landing, on the first Tuesday of May, next, at ten o'clock A. M., or as soon thereafter as practicable: Provided, That in the absence of any one of the Commissioners appointed by this act, the others may have the power to supply said vacancy by appointing another Commissioner, or may in case a majority of them meet, proceed in discharging their duties, and at the discretion of a majority of said Commissioners they may adjourn from time to time, as they may deem proper. And the Commissioners when assembled shall proceed to lay out and mark said road in accordance with the provisions of law in such cases made and provided the expense of said survey to be paid by the County of Fillmore.

CHAPTER 29.

An Act to establish certain Counties and for other purposes.

County of Houston.

County of Fillmore.

County of Winona.

County of Wabasba.

County of Goodhue.

Be it enacted by the Legislative Assembly of the Territory of Minnesota: That so much territory as is embraced in the following boundaries be, and the same is hereby established as the County of Houston :

Beginning at a point on the Mississippi River on the line of Iowa and Minnesota; thence west to the southwest corner of Township No. 101 North of Range No. 7 West: thence North twenty-four miles to the northwest corner of Township No. 101 North of Range No. 7 West; thence east to the Mississippi River; thence down the said river to the place of beginning.

That so much territory as is embraced in the following boundaries be, and is hereby established as the County of Fillmore:

Beginning at the south-east corner of Township No. 101, North of Range No 8 West; thence North twenty-four miles to the northeast corner of Township No. 101, North of Range No. 8 West; thence west eighteen miles; thence north twelve miles; thence west eighteen miles to the north-west corner of Township No. 106, North of Range No. 13 West; thence south to the south-west corner of Township No. 101, North of Range No. 13 West: thence east on the Iowa Line to the place of beginning.

That so much territory as is embraced in the following boundaries be, and is hereby, established as the County of Winona;

Beginning at the south-west corner of Township No. 105, North of Range No. 10 West; thence north twenty four miles to the northwest corner of Township No. 103, North of Range No. 10 West; thence east to the Mississippi River; thence down said river to the north-east corner of Houston County: thence west to the place of beginning.

That so much territory as is embraced in the following boundaries be, and is hereby, established as the County of Wabasha:

Beginning at the south-east corner of Township No. 107, North of Range No. 11 West: thence west thirty miles to the south-west corner of Township No. 107, North of Range No. 15 West; thence north twelve miles; thence east six miles; thence north twelve miles; thence east six miles; thence north twelve miles; thence east six miles; thence north six miles; thence east six miles; thence north to Lake Pepin; thence down said Lake and the Mississippi River to the north-east corner of Winona County; thence west to the north-west corner of Winona County; thence south to the place of beginning.

That so much territory as is embraced in the following boundaries be, and is hereby established as the County of Goodhue:

Beginning at the north-east corner of Township No. 112, North of Range No. 13 West; thence south six miles; thence west six miles; thence south six miles; thence west six miles: thence south twelve miles to the south-cast corner of Township No. 109, North of Range No. 115; thence west twenty-four miles to the south-west

corner of Township No. 109, North of Range No. 18 West; thence north to the Cannon River; thence down said river to the lines between Ranges 17 and 18; thence north to the south-east corner of Township No. 113 North of Range 18 West; thence east six miles; thence north to the Mississippi River; thence down said river and Lake Pepin to the place of beginning.

What counties to hold election.

That the counties of Houston and Winona, on the first Tuesday of April next are each hereby authorised to hold a special election, within the precincts as are now designated by the county commissioners of Fillmore county, for the purpose of choosing the following county officers, to wit: Three county commissioners, one register of deeds, one county treasurer, one sheriff, one district attorney, County officers, one judge of probate, one county surveyor, one coroner, three assessors, one supervisor of roads for each road district, two justices of the peace, and two constables for each precinct.

Said election shall be held at the precincts now authorised by law for holding general elections, and the said election shall be conducted in the same manner as is provided by law for holding general elections; and the returns of said election shall be returned to the register of deeds of Fillmore county, and the said register is hereby authorised and required to canvass the said returns according to law, and to issue to each person receiving the highest number of votes a certificate of their election, and upon the receipt of such certificate, said person may immediately qualify, and enter upon the duties of his office, and the officers so elected shall hold made; Officers to their offices until their successors shall have been elected at the qualify. next general election, and qualified according to law; and the Governor of this Territory is hereby authorised and requested to appoint inspectors of elections for cach precinct of the said counties for the special election.

The County Seat of said County of Winona shall be at the village of Winona, at such point as the County Commissioners of said county may select on the present recorded village plat of Wi

nona.

The County Seat of said County of Goodhue, shall be located at the village of Red Wing, at such point in said village as the County Commissioners of said County may select.

The County Seat of said County of Houston shall be located at the village of Brownsville, at such point as the County Commissioners of said County may select.

This act shall take effect and be in force from and after the first Tuesday of April next.

CHAPTER 30.

An Act to Incorporate the Saint Paul Bridge Company.

Be it enacted by the Legislative Assembly of the Territory of Minnesota: That Lyman Dayton, J. C. Ramsey, John R. Irvine, J. W. Bass, W. G. Le Duc, W. R. Marshall, Joseph R. Brown, George L. Becker, Wm. Ames, N. Myrick, A. L. Larpenteur, J. W. Simpson, C. H. Oakes, M. E. Ames and Louis Roberts, and their associates, successors and assigns, be and they are hereby constituted a body corporate and politic, with perpetual succession, for the purposes hereinafter mentioned, under the name and title of the St. Paul Bridge Company and by that name they and their successors shall be, and they are hereby made capable in law, to contract and be contracted with, sue and be sued, plead and be impleaded, prosecute and defend, answer and be answered, in any court of record, and elsewhere, and to purchase and hold any estate, real, personal or mixed, and the same to grant, sell, lease, mortgage, or otherwise dispose of, for the benefit of said company, to devise and keep a common seal, to make and enforce any by-laws not contrary to the Constitution and laws of the United States or of this Territory, and to enjoy all the privileges, franchises and immunities incident to a corporation.

SEC. 2. The capital stock of said Company shall be not to exceed one hundred and fifty thousand dollars.

SEC. 3. Any three of the individuals named in the first section of this act, are hereby authorised to cause books to be opened at St. Paul, for the purpose of receiving subscription to the capital stock of said Company, first giving thirty days' notice in one or more weekly newspapers published in St. Paul, of the time and place of opening said books.

SEC. 4. Whenever ten thousand dollars of capital stock shall have been subscribed, and five dollars upon each share so subscribed for shall have been actually paid in, anynumber of the said subscribers who shall represent a majority of the then subscription to said stock, are hereby authorised to call a meeting of the subscribers thereto, by giving twenty days notice of the time and place of such meeting, and those of the subscribers who may be present at the meeting so called, shall have the power to elect a board of seven directors from the stockholders of said company.

SEC. 5. The board of directors thus chosen, shall proceed to elect one of their number president of said Company, and shall also choose one or more persons to act as secretary and treasurer, who shall give bonds, to be approved by the president and direc

tors, to the said president and directors, in such penal sum as they may require, conditioned for the faithful and correct discharge of his or their duty as such treasurer and secretary of said Company; and at such first meeting, or as soon thereafter as practicable, said president and directors shall prepare and adopt a code of bylaws, for the regulation and government of the affairs of said Company, which may be altered or amended at any subsequent meeting of said board of directors, by a majority thereof.

SEC. 6. The said officers chosen according to the provisions of the two preceding sections, shall remain in their several offices until the first Monday of January, 1856, upon which said Monday, a meeting of the said stockholders shall be held, and a board of seven directors chosen, who shall remain in office for one year thereafter, and until others are chosen in their stead, and annually thereafter on the first Monday of January, of each year, a meeting of the stockholders shall be held, and a board of seven directors chosen for the ensuing year; Provided, that if any vacancy shall be created in any office, by reason of resignation, death or otherwise, the board of directors shall have power to fill such vacancy for the remainder of the term; Provided, also, that the President of said company shall be chosen from the seven directors thereof, and a secretary and treasurer shall always be chosen by the said board of directors, according to the provisions of the fifth section of this

act.

SEC. 7. The President of this company shall have power to call a meeting of the stockholders at any time, by giving fifteen ident, days notice of the time and place of such meeting, in any two newspapers, published in this Territory, and any four of the board of directors, or a majority in value of the stockholders, shall have the like power to call a meeting of the stockholders in like manner.

SEC. 8. The board of directors shall meet at such times and places as they shall regulate by their by-laws. They shall fix the compensation of all oflicers of the company; define their duties, and shall by their by-laws regulate the government of all meetings of their own board, and of the stockholders, and generally shall have power to do all acts for the benefit and purposes of the said

company.

SEC. 9. The Secretary shall attend all meetings of the board of Secretary. directors, and of the stockholders, and shall keep a just and true report of all proceedings at such meetings, and as Treasurer and Secretary, shall perform such duties as the board of directors by their by-laws shall prescribe.

SEC. 10. Every share shall be entitled to one vote, and at any meeting for the choice of directors, the seven stockholders having had. the highest number of votes cast, shall be elected directors, and at every meeting of the board of directors, for the choice of President, the director having the highest number of votes shall be elected President: Provided, that at any meeting of the stockholders a majority in value, shall constitute a quorum, with power to transact all business, and at any meeting of the board of directors, any four of the directors shall constitute a quorum, with power to transact business.

SEC. 11. The said company shall be, and are hereby, authorized and empowered to construct and maintain, and keep a bridge across the Mississippi river, from any street running to said river in the limits of the city of St. Paul.
