NOTE.- In explanation of this report as to the assets and indebtedness of the company, the facts are that the company on the 30th day of September, 1884, and at the date of this report owns no assets excepting the $270 of capital stock paid, in and which is deposited in the Bank of Commerce in Buffalo, and owes no debts whatever, except for such capital stock paid in. A conveyance to it has been executed and recorded of lot 223 and parts of lots 227 and 228 of the Parish tract of land in the north village of Black Rock (now city of Buffalo), and the taxes upon said property have been assessed to the company, but the conveyance of said property has not as yet been delivered to or accepted by the company, nor has the company yet assumed to pay for the same, and the taxes thereon, although the bills therefor have been made out in the name of the company, have been paid by the parties interested in the property prior to the making of such conveyance; it is contemplated, however, during the coming season to go on and complete the road of the company, to accept said deed, to use said lands for the purposes of the road, to pay for the same, and to make such increase of the capital stock as may be necessary to legally accomplish the said intention.

BUFFALO HARBOR.

The Buffalo Harbor Railroad Company was organized November 28, 1883. The corporate existence has been duly maintained, by-laws have been adopted, and the election of directors, as provided for, was held June 2, 1884, after due publication of notice of stockholders' meeting and election.

The line of road proposed to be built has been surveyed and staked out, but thus far the company has done nothing toward the completion of its road-building, or toward the acquirement of any property for railroad purposes, save filing its map and profile in Erie county clerk's office.

The Buffalo, New York and Erie Railroad Company was organized in the year 1857, under the laws of the State of New York, for the purpose of constructing, completing, maintaining and operating a railroad from the city of Buffalo, in the county of Erie, to the village of Corning, in the county of Steuben, State of New York.

On or about February 27, 1863, the railroad and certain property appurtenant thereto were leased to the Erie Railway Company for the period of 490 years from the first day of May, 1863, for an annual rent of $233,100; the lessee company further covenanting to pay the taxes and assessments imposed on the demised premises and property.

The agreement of lease was duly recorded in the offices of the clerks of the counties along the line of the railroad.

The Erie Railway Company operated the demised property of the Buffalo, New York and Erie Railroad Company until the appointment, on or about the 26th day of May, 1875, of a receiver of the said Erie Railway Company under foreclosure proceedings instituted against that company. Subsequently, and in the year 1878, all the property and franchises of the Erie Railway Company were sold, under a decree of the Supreme Court of the State of New York, on foreclosure of a mortgage on such property, to the New York, Lake Erie and Western Railroad Company. The said New York, Lake Erie and Western Railroad Company thus succeeded to the rights of the Erie Railway Company, under the agreement of lease of February 27, 1863, and is now operating the property leased by the Buffalo, New York and Erie Railroad Company.

On April 15, 1874, an agreement in writing was made between the Erie Railway Company and the Buffalo, New York and Erie Railroad Company, by which the terms of the lease of February 27, 1863, were in certain respects modified. The modifications agreed to related to a proposed increase of the bonded indebtedness,

and to the mode of payment of the rental moneys reserved under the lease. In other respects the original lease remains in full force and effect. The agreement in modification of the lease is recorded in the offices of the clerks of the counties along the line of the Buffalo, New York and Erie railroad.

The corporate management of the Buffalo, New York and Erie Railroad Company is vested in a board of thirteen directors, who have a president, secretary and treasurer duly elected by them.

The company has an office in the city of New York, at No 115 Broadway, and one in the city of Buffalo.

Reference to the report of the New York, Lake Erie and Western Railroad Com pany, lessee, should show statements of earnings, expenses, repairs, transporta tion, incidents, accidents, etc.
