The consolidation agreement of March 1, 1881, has been declared illegal and void by decree of the Supreme Court of the State of New York, on the 16th day of July, 1883, and the stock and bonds issued thereunder have been canceled and destroyed in obedience to said decree, and an equitable lien upon all of the property of the four constituent companies entering into the attempted consolidation has been granted by said decree to the Continental Construction and Improvement Company. The Boston, Hoosac Tunnel and Western Railway Company of Vermont and New York, as consolidated April 19, 1880, and known as one of the constituent companies, was adjudged by said decree to be a legal and valid corporation, and it now holds and controls the right of way, road-bed, etc., between the Massachusetts State line and a point near Hoffman's Ferry, known as Rotterdam Junction, in the county of Schenectady, New York, subject to the said lien and claims of the Continental Construction and Improvement Company, to which it has confessed judgment, and also for construction work under its contract with said company, dated August 4, 1883; and settlements not having yet been made with the construction company, a report of construction cost can only be made up to the time of last settlement, July 16, 1883, and a distribution of said cost in detailed items cannot be furnished until the construction company have made final settlements and turned over all of the property. This company leased the Saratoga Lake railway and the Hoosac Tunnel and Saratoga railway in July, 1882, and now control and operate said properties under such lease, and have embodied the doings of said properties in this report. |
